I/We hereby agree and declare that:

1. I/We declare and represent that this is the only International Placing application that I /we (and/or the Beneficial Owner) have made and intend to make, and no application has been made for the shares in the Hong Kong public offer with Long Bridge HK Limited or any other brokers.
2. I/We consent to the Long Bridge HK Limited to collect, hold, process and use my/our personal data and information, including but not limited to the name, application amount and any other personal data belonging to me/us.
3. I/We have read and understand the all the content and provisions of the Placement Document.
4. I/We acknowledge and accept that the number of Placing Shares allocated to me/us may be less than the number of shares applied for, and that Long Bridge HK Limited does not guarantee that all of our subscription will be met.
5. I/We confirm and declare that the identity (and if I/we apply as an agent for another person, refers to the identity of the beneficial owner (hereinafter referred to as the “Beneficial Owner”)) is in compliance with the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong) and the Listing Rules promulgated by the Exchange (hereinafter referred to the “Listing Rules”).
6. I/ We confirm and declare that I/we (and/or the Beneficial Owner) (as the case may be) do not belong to any of the following persons:
   1. the existing beneficial owner of the shares;
   2. the existing shareholders, directors, chief executive officers, employees, agents, major suppliers or major customers of the Issuer or any of its subsidiaries;
   3. the “connected persons” (as defined in the Listing Rules) of the lead broker or any distributors of the Placing Shares;
   4. the “connected persons” (as defined in the Listing Rules) of the Issuer;
   5. the “contact persons” (as defined by Listing Rules and/or any Applicable Laws, and/or other documents in force) of the Issuer.
7. I/We agree that the International Placing application may not be withdrawn or altered after the application deadline stipulated by Long Bridge HK Limited and shall not be revoked or altered by unintentional misrepresentation. I/We unconditionally and fully accept the allocation results of the Placing Shares.
8. I/ We have carefully read, and agree to all provisions and content as set out in the T&C of Placing Letter. This Subscription Statement (“Statement”) is supplemental to, and should be read in conjunction with the T&C of Placing Letter. In the event of any provision not covered in the T&C of Placing Letter, this Statement shall prevail, and in case of any conflicts between this Statement and the T&C of Placing Letter, the T&C of Placing Letter shall prevail.
